Last Updated: August 26, 2026 (initial draft)
This End User License Agreement and Terms of Service ("Terms") is a binding agreement between you ("you" or "User") and Slowstarr LLC ("Slowstarr," "Company," "we," "us," or "our"), governing your access to and use of DayWeavr, including our website, web application, and related services (collectively, the "Service"). By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.
1. Eligibility
You must be at least 18 years old to create a DayWeavr account or otherwise use the Service. By using DayWeavr, you represent that you are at least 18, that you have the legal capacity to enter into these Terms, and that all registration information you provide is accurate and complete. If you are using DayWeavr on behalf of a household or family, you confirm you are authorized to add the household members you invite, consistent with Section 6.
You may maintain only one personal DayWeavr account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support@dayweavr.com if you suspect unauthorized use of your account.
2. The Service
DayWeavr is a personal planning and scheduling application that helps you organize projects, tasks, and workstreams across your work and personal life, including an AI-assisted scheduling engine, optional calendar integrations, and optional Groups for shared and household planning. We may add, change, or remove features at any time, and may offer some features only on paid subscription tiers.
3. License Grant
Subject to your compliance with these Terms, Slowstarr grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal, non-commercial life- and task-management purposes. This license does not include any right to:
- copy, modify, or create derivative works of the Service or its underlying software;
- reverse engineer, decompile, or disassemble any part of the Service, except to the extent such restriction is prohibited by applicable law;
- sell, resell, rent, lease, sublicense, or otherwise commercially exploit the Service;
- use automated means (bots, scrapers, or unauthorized use of any API) to access the Service beyond what we explicitly provide;
- remove, obscure, or alter any proprietary notices on the Service.
All rights not expressly granted to you are reserved by Slowstarr and its licensors.
4. Subscription Plans, Billing, and Payment
DayWeavr may be offered on a free tier and one or more paid subscription tiers ("Pro" or similarly named plans). Features, pricing, and plan limits are described on our pricing page at the time of purchase and may change with notice as described below.
- Billing: paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected) and automatically renew at the end of each billing period unless canceled before the renewal date.
- Payment processing: payments are processed by a third-party payment processor. You authorize us and our payment processor to charge your chosen payment method for all fees incurred.
- Price changes: we will provide at least 30 days advance notice of any price increase affecting your subscription, which will take effect at your next renewal unless you cancel before then.
- Cancellation: you may cancel your subscription at any time in Settings. For monthly plans, cancellation takes effect at the end of the current billing period and you retain access to paid features until then. For annual plans, cancellation is effective when we receive it, your access to paid features ends at that point, and we refund the unused portion as described below.
- Refunds: if you cancel an annual subscription, we refund the unused portion of the fees you have already paid, prorated by whole remaining months from the date we receive your cancellation. Monthly subscriptions are not refunded; your access continues to the end of the billing period you have paid for. Refunds are issued to the original payment method. Fees are otherwise non-refundable except where a refund is required by law.
- Taxes: fees are exclusive of applicable taxes, which we will collect where required by law.
5. User Content
"User Content" means the projects, tasks, notes, comments, files, and other content you or your invited collaborators create or upload within the Service. As between you and Slowstarr, you retain all ownership rights in your User Content.
You grant Slowstarr a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process your User Content solely as necessary to provide, maintain, secure, and improve the Service for you (for example, to sync your calendar, generate an AI-assisted plan, or display your tasks to collaborators you've shared them with). This license ends when you delete the relevant content or your account, except to the extent copies persist temporarily in backups as described in our Privacy Policy.
You are solely responsible for your User Content and for ensuring you have the necessary rights and permissions to store and share it through the Service, including obtaining any consent needed to add another person's name, email address, or task assignments to a shared Group.
6. Groups: Shared and Household Planning
DayWeavr lets you selectively share individual projects with collaborators, or set up a household or family Group. Sharing is private by default: nothing is visible to another person unless you explicitly share it with them. As the owner of a shared project or Group, you are responsible for the collaborators you invite and may add or remove them at any time; removed collaborators immediately lose access to that project's content. You acknowledge that content you share becomes visible to, and in some cases editable by, the collaborators you invite, and Slowstarr is not responsible for what a collaborator does with content you've chosen to share with them.
7. AI-Assisted Features
DayWeavr's AI assistant and scheduling engine use artificial intelligence, including third-party AI infrastructure, to generate task breakdowns, time estimates, sequencing suggestions, daily plans, and coaching insights based on the information you provide ("AI Output").
- AI Output is provided for informational and organizational purposes only. It is not professional, medical, financial, legal, or safety advice, and you should not rely on it as such.
- AI Output may be inaccurate, incomplete, or unsuited to your specific situation. DayWeavr is designed so that you review and approve AI-generated plans and suggestions before they take effect — you remain solely responsible for the decisions you make and the actions you take based on AI Output, whether or not you modify it first.
- We do not guarantee that following the Service's suggestions will result in any particular outcome, including any particular level of productivity, task completion, or life balance.
8. Third-Party Integrations
DayWeavr offers optional integrations with third-party services (including Google Calendar, Microsoft Outlook, and Apple Calendar) via authorized connections (typically OAuth) that you initiate and can revoke at any time in Settings. Your use of any third-party service remains subject to that service's own terms and privacy policy. We are not responsible for the availability, accuracy, or performance of any third-party service, or for any loss or delay caused by a change, interruption, or discontinuation of a third-party integration.
9. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- upload or transmit viruses, malware, or other harmful code;
- attempt to gain unauthorized access to the Service, other users' accounts, or our systems;
- impersonate any person or entity, or misrepresent your affiliation with a person or entity;
- use the Service to harass, stalk, or invade the privacy of another person, including by adding someone to a shared Group without their knowledge or consent for that purpose;
- interfere with or disrupt the integrity or performance of the Service;
- use any portion of the Service to build a competing product or service.
We may investigate and take appropriate action against anyone who violates this section, including suspending or terminating their account, as described in Section 13.
10. Intellectual Property
The Service — including its software, design, text, graphics, logos, and the DayWeavr and Slowstarr names and marks — is owned by Slowstarr LLC or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers any ownership of Slowstarr's intellectual property to you. If you submit ideas, feedback, or suggestions about the Service, you grant Slowstarr an unrestricted, perpetual, royalty-free right to use them without any obligation to you.
11. Third-Party Services and Links
The Service may contain links to, or integrations with, third-party websites or services that are not owned or controlled by Slowstarr. We are not responsible for the content, accuracy, or practices of any third-party service. Your use of any third-party service is at your own risk and subject to that party's own terms.
12. Disclaimers
THE SERVICE, INCLUDING ALL AI OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SLOWSTARR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
13. Term, Suspension, and Termination
These Terms remain in effect while you use the Service. You may stop using the Service at any time. To delete your account, contact us at the address in Section 19; deletion is handled as described in our Privacy Policy. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for Slowstarr or other users, or if we discontinue the Service generally. Upon termination, your right to use the Service ends immediately; provisions of these Terms that by their nature should survive termination (including Sections 5, 10, 12, 14, 15, and 16) will survive. Data deletion following account termination is handled as described in our Privacy Policy.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SLOWSTARR, ITS OFFICERS, EMPLOYEES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SLOWSTARR'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SLOWSTARR FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits any liability that cannot be limited under applicable law.
15. Dispute Resolution: Binding Arbitration and Class Action Waiver
| Please read this section carefully — it affects your legal rights. |
|---|
15.1 Informal Resolution First
Before filing a claim against Slowstarr, you agree to first contact us at legal@dayweavr.com and attempt to resolve the dispute informally. We will do the same before pursuing a claim against you. If we cannot resolve the dispute within 30 days, either party may proceed as described below.
15.2 Agreement to Arbitrate
You and Slowstarr agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its rules then in effect, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration will be conducted Delaware or another mutually agreed location, and may be conducted remotely where permitted by the arbitration provider's rules.
15.3 Class Action and Jury Trial Waiver
YOU AND SLOWSTARR EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, UNLESS BOTH PARTIES AGREE OTHERWISE IN WRITING.
15.4 Right to Opt Out
You may opt out of this arbitration agreement by sending written notice to legal@dayweavr.com within 30 days of first accepting these Terms, stating your name, account email, and that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts identified in Section 16, and the informal-resolution requirement in Section 15.1 still applies.
15.5 Severability of This Section
If the class-action or representative-action waiver in Section 15.3 is found unenforceable as to a particular claim or remedy, that claim or remedy will proceed in court rather than in arbitration, and the remainder of this Section 15 will remain in force and be enforced as to all other claims.
16. Governing Law
These Terms, and any Dispute not subject to arbitration (or arising from an opt-out under Section 15.4), are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs Section 15. Subject to Section 15, you and Slowstarr consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any Dispute not subject to arbitration.
17. Changes to These Terms
We may modify these Terms from time to time. If we make a material change, we will provide notice by email and/or an in-app notice at least 14 days before the change takes effect. If you do not agree to the revised Terms, you must stop using the Service before they take effect; continued use of the Service after the effective date constitutes acceptance of the revised Terms.
18. General Provisions
- Entire Agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and Slowstarr regarding the Service and supersede any prior agreements.
- Severability: if any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- Assignment: you may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
- Force Majeure: neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control.
- Notices: we may provide notices to you via the email address on your account or through an in-app notice; you may send notices to us at the addresses in Section 19.
- No Third-Party Beneficiaries: these Terms do not create any rights for any person or entity other than you and Slowstarr.
